Effective date: 13 September 2026 These Terms of Service ("Terms") govern access to and use of Gidigba, a marketplace platform operated by Teckplus Digital Solutions Limited ("Gidigba", "we", "us"), connecting informal-sector workers ("Workers") with individuals and businesses seeking their services ("Clients"). By creating an account or using Gidigba you agree to these Terms. If you do not agree, do not use the app. 1. WHO MAY USE GIDIGBA You must be at least 18 years old and able to form a binding contract under Nigerian law. Workers must complete identity verification (NIN and, where required, BVN) and any trade-specific onboarding (training, credentials, guarantors) before accepting jobs. Clients must provide accurate contact and payment details. Gidigba may refuse, suspend or close an account that fails verification, provides false information, or breaches these Terms. 2. WHAT GIDIGBA IS AND IS NOT Gidigba is a marketplace and payments facilitator. It is not the employer of any Worker and does not itself perform the work Workers and Clients agree to. Each job is a direct arrangement between a Worker and a Client; Gidigba provides discovery, communication, escrow, dispute mediation and reputation tools around that arrangement. Nothing in these Terms creates an employment, agency, partnership or franchise relationship between Gidigba and any Worker or Client. 3. JOBS, PRICING AND ESCROW A Client funds a job amount into escrow before work begins (or, for part-payment arrangements, in the instalments the parties agree). Gidigba takes a service charge from each side, currently a client-side commission and a worker-side platform fee disclosed in the app before a job is funded and again in Settings — these rates can change and the current rate always governs, not a rate remembered from an earlier job. Funds in escrow are released to the Worker once the Client confirms completion, or automatically after the disclosed auto-release window if the Client does not respond. Cancellations, part-payments, loan repayment deductions and refunds follow the rules shown in-app at the time of the transaction. 4. THE POINTS AND TIER SYSTEM Workers earn points from verified identity, qualifications, completed jobs, client ratings and reliability, and rise through tiers (Aboy, Ogbonge, Igwe) as set out in-app. Tiers are earned from real activity on the platform and cannot be purchased, gifted or transferred. Gidigba may adjust how points are calculated; any such change applies going forward and does not retroactively strip points or a tier already earned. 5. DISPUTES A Worker or Client may raise a dispute over a job through the app. Gidigba reviews evidence submitted by both sides and may mediate, adjust a payment, or make a binding decision on the funds held in escrow for that job. Disputes over a completed transfer that has already left escrow are handled as a service complaint, not a reversal of the transfer itself, except where Gidigba determines fraud or an operational error occurred. 6. WALLET, LOANS, SAVINGS AND INSURANCE Gidigba's wallet, loan and savings features are provided directly by Gidigba or through licensed partners; insurance products are underwritten by third-party insurers and administered through Curacel. Where a partner or insurer sets its own terms for a product (a loan agreement, a policy document), those terms apply in addition to these Terms and, for that product, govern where they conflict. 7. GIDIBOT AND OTHER AI FEATURES GidiBot is an AI assistant that may charge a per-message fee, disclosed in-app before you send a message. Responses are generated by an AI model and are provided for guidance only — they are not professional, legal or financial advice, and Gidigba is not liable for a decision made solely on a GidiBot response. 8. CONDUCT You agree not to: provide false identity or job information; use Gidigba to solicit or complete a transaction off-platform to avoid fees where doing so breaches a specific in-app job; harass, threaten or discriminate against another user; attempt to access another user's account; or use the platform for any unlawful purpose. Gidigba may suspend or close an account for a breach of this section, an upheld dispute, or conduct that puts another user's safety at risk. 9. SAFETY Gidigba provides safety tools including panic alerts and emergency contact capture. These tools support a faster response; they do not replace calling the Nigeria Police Force or another emergency service directly where there is immediate danger. 10. LIMITATION OF LIABILITY To the fullest extent permitted by Nigerian law, Gidigba's liability for any claim arising from use of the platform is limited to the fees actually paid to Gidigba on the job or transaction giving rise to the claim. Gidigba is not liable for the quality of work performed by a Worker, for a Client's failure to pay outside of funds already in escrow, or for indirect or consequential loss. 11. CHANGES TO THESE TERMS Gidigba may update these Terms from time to time. A material change will be notified in-app before it takes effect. Continued use after a change takes effect means you accept the updated Terms. 12. GOVERNING LAW These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute not resolved through Gidigba's own dispute process is subject to the exclusive jurisdiction of the courts of Nigeria. 13.
